Welcome to Recognize Ltd– a digital mental health company offering self-guided tools and support for the emotional and mental wellbeing of new and expectant parents at work and at home. By accessing or using our services, you agree to the following terms:

1. Non-Clinical Nature of Our Services

Recognize provides non-clinical digital mental health support. Our services are designed to enhance mental wellbeing through:

     - Self-guided check-ins and reflection tools
     - Educational tools and practices inspired by CBT and NLP
     - Peer and community-based support
     - Wellbeing-focused webinars and learning experiences

We do not provide:

     - Diagnosis, therapy, counselling, or medical treatment
     - Any service delivered by registered health professionals (e.g., therapists, doctors, nurses)
     - Clinical mental health interventions or crisis care
     - Services regulated by the Care Quality Commission (CQC)

2. Eligibility

You must be at least 18 years old and legally able to enter into this agreement. If access is provided through your employer, participation remains entirely voluntary.
3. Privacy and Data Protection

We are registered with the Information Commissioner’s Office (ICO) and operate in accordance with UK GDPR. We only collect personal data necessary for delivering our services and will never sell or misuse your information.

4. Intellectual Property

All content, branding, and platform tools are owned by Recognize Ltd or licensed to us. You may not copy, redistribute, or alter platform content without our prior consent.
5. User Responsibility

You agree to use the platform respectfully and within the scope of its non-clinical purpose. You must not:

   -Use the service as a substitute for therapy or medical care
   -Submit misleading or harmful information
   -Use the platform in a way that violates applicable law

6. Limitation of Liability

Recognize is a non-clinical service and does not offer healthcare advice. We are not responsible for any harm or misinterpretation arising from use of the platform. Our resources are designed for self-help and general support only.

We may update these Terms of Use periodically. Material changes will be communicated through the platform or by email.

7.1- Certain features on Our Site, including the ability to purchase goods from Us, may require an Account.

If you believe your Account is being used by someone else without your permission, please change your password immediately by logging into your account and/or contact Us using the details above in Part 3.

7.6- You must not use another person’s Account with or without their permission.

7.7- All personal information provided by you in your Account will be collected, used, and held in accordance with your rights and Our obligations under data protection law, as set out in Our Privacy Policy, available from www.recognizeltd.co.uk.

7.8- If you wish to delete your Account, you may do so at any time. If you delete your Account, you will no longer have access to the features on Our Site requiring an Account. Deleting your Account will result in the removal of your information from Our Site. Data will be stored in line with GDPR legislation if there are any concerns contact us using contact information from [3.2] . 7.9- If you delete your Account, any User Content that you have shared on Our Site will data will be stored in line with GDPR legislation if there are any concerns contact us using contact information from [3.2] .

7.10- We may disable your Account if, in Our reasonable opinion, you have breached these Terms of Use (including, but not limited to, Our Acceptable Usage Policy).

7.11- Electronic Communications: When you visit the Website or send e-mails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on the Website. This Agreement is governed by and shall be construed in accordance with the United kingdom without regard to its principles of conflicts of law. In the event of a dispute arising under or relating to this Agreement, the Site or the Materials, you agree to the exclusive jurisdiction of the federal and state courts located in Birmingham United Kingdom, and waive any jurisdictional, venue, or inconvenient forum objections to such courts. From its principal office in Icentrum, Holt Street Birmingham, Birmingham and is not intended to subject Recognize Ltd, to the laws or jurisdiction or any state, country, or territory other than that of Birmingham Crown Court and of the United Kingdom.

9.1- With the exception of User Content (please refer to Part 10), all Content included on Our Site and the copyright and other intellectual property rights in that Content belongs to or has been licensed by Us, unless specifically labelled otherwise. All Content (including User Content) is protected by applicable United Kingdom and international intellectual property laws and treaties.

9.2- Users retain the ownership of the copyright and all other intellectual property rights in their User Content (with the exception of any part of any User Content which is owned by a third party, in which case, Users must obtain express permission for such material to be used in the User Content). For information on the use of User Content, please refer to Part 10.

9.3- You may access, view, and use Our Site in a web browser (including any web browsing capability built into other types of software or app) and you may download Our Site (or any part of it) for caching (this usually occurs automatically).

9.4- You may print one copy and download extracts of any page(s) from Our Site for personal use only.

9.5- You may not otherwise modify the printed copies, downloaded extracts, or downloaded or saved Content in any way. Images, video, audio, or any other Content downloaded from Our Site must not be used separately from accompanying text.
9.6- You may not use any Content (including User Content) from Our Site for commercial purposes without first obtaining a licence from Us, Our licensors, or the relevant User, as applicable. 10- User Content

10.1-User Content on Our Site includes reviews, comments and sharing via social media.

10.2- An Account is required for the submission of User Content to Our Site.

10.3- All User Content and communications with other Users on Our Site must comply with the content standards set out in Our Acceptable Usage Policy, available at www.recognizeltd.co.uk.

10.4- You warrant that you will comply with Part 10.3 and the content standards referred to. You will be liable to Us and will, to the fullest extent permissible by law, indemnify Us for any breach of your warranty. You will be responsible for any loss or damage suffered by Us as a result of such a breach.

10.5- We are not responsible for any loss of User Content submitted to Our Site. It is your sole responsibility to secure and backup your User Content.

10.6- All User Content is considered non-confidential and non-proprietary.

10.7- We may reject, reclassify, or remove any User Content from Our Site where, in Our sole opinion, it violates Our Acceptable Usage Policy.

10.8- We have the right to disclose your identity to a third party if that third party claims that any User Content submitted by you infringes their intellectual property rights (including, but not limited to, copyright) or their right to privacy.

User submissions do not reflect the views of Recognize Ltd (the “Forum Moderators”), neither of which have any obligation whatsoever to monitor, edit, or review any User Submissions on the Website.

10.18- The Forum Moderators assume no responsibility or liability arising from the content of any User Submissions, nor any error, defamation, libel, slander, omission, falsehood, obscenity, pornography, profanity, danger, or inaccuracy contained in any information within any User Submission on Recognize LTD, . You are strictly prohibited from submitting or transmitting to the Forum Moderators any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, or profane material that could be constitute or encourage conduct that would be considered criminal offense, give rise to civil liability, or otherwise violate any law. The Forum Moderators will fully cooperate with any law enforcement authorities or court order requesting or directing it to disclose the identity or anyone posting any such information or materials.

10.19- All User Submissions will be treated as non-confidential and non-proprietary. Anything you submit or transmit to Recognize Ltd, or post shall be deemed the property of and may be used by the Forum Moderators for any purpose, including, but not limited to, reproduction, disclosure, transmission, publication, broadcast and posting. Furthermore, the Forum Moderators are free to use and shall be deemed to own, any ideas, concepts, know-how, or techniques contained in any User Submission you submit or transmit to us, for any purpose whatsoever, including, but not limited to, developing, manufacturing and marketing products using such information. Disclosure, submission, or offer of any User Submissions to Recognize Ltd, shall constitute an assignment to the Forum Moderators of all worldwide rights, titles, and interests in all copyrights and other intellectual property rights in such User Submission.

10.20- The Forum Moderators may edit, copy, publish, distribute, translate, and otherwise use in any medium any User Submission that you submit or transmit to the Forum Moderators and will own exclusively all such rights, titles, and interest and shall not be limited in any way in its use, commercial or otherwise, of the submission. The Forum Moderators are and shall continue to be under no obligation to maintain any User Submission in confidence, to compensate you or any other user for any User Submission, or to respond to any of your or any other user’s User Submission.

10.21- User Content Guidelines. The following terms apply to content submitted by you: The Websites may contain comments sections, discussion forums, or other interactive features (“Interactive Areas”) in which you may post or upload user-generated content, comments, video, photos, messages, other materials or items (collectively, “User Content”). You are solely responsible for your use of any Interactive Areas and you use them at your own risk. Interactive Areas are available for individuals aged 18 years or older. By submitting User Content to an Interactive Area, you represent that you are 18 years of age or older and, if you are under the age of 18, you either are an emancipated minor or have obtained the legal consent of your parent or legal guardian to enter into these Terms, submit content, and participate on the Websites. The burden of determining that any User Content is not protected by copyright, trademark, trade secret, right of publicity or other proprietary right rests with you. You shall be solely liable for any damage resulting from any infringement of copyrights, trademarks, trade secrets, rights of publicity or other proprietary rights or any other harm resulting from such a submission. Any person determined by Recognize Ltd , in its sole discretion, to have violated the intellectual property or other rights of others shall be barred from submitting or posting any further material on the Websites; (j) does not generally pertain to the designated topic or theme of any Interactive Area; (k) contains any unsolicited or unauthorized advertising or promotional materials with respect to products or services, “junk mail”, “spam”, “chain letters”, “pyramid schemes”, or any other form of solicitation; or (l) uses the name or likeness of an identifiable natural person without such person’s consent. The burden of determining that any User Content is not protected by copyright, trademark, trade secret, right of publicity or other proprietary right rests with you. 13- Viruses, Malware, and Security

13.6- We exercise reasonable skill and care to ensure that Our Site is secure and free from viruses and malware; however, We do not guarantee that this is the case.

13.7- You are responsible for protecting your hardware, software, data, and other material from viruses, malware, and other internet security risks.

13.8- You must not deliberately introduce viruses or other malware, or any other material which is malicious or technologically harmful either to or via Our Site.
